什么是重建管理?

Turnaround Management[重建管理]

重建管理(Turnaround Management,就是在企业困厄之时,尤其是在企业财务困厄之时,为了企业的重建与再生,制定、执行一整套的战略方案,采取一系列的具体行动步骤。 重建管理假定企业仍有重塑偿债能力、盈利能力以及战略活力的潜力与可能,在企业外部重建管理顾问(或企业战略顾问)的帮助之下,对企业的困厄局面进行根本原因分析,为企业设计出一整套的重建方案并执行之。


企业战略困厄的根源。

一般来说,企业战略困厄的根源多为以下几个方面:

  1. “不可抗力”——尽管预测准确、准备充分,某些风险仍可能造成不可挽回的损失。

  2. 对于市场的不当理解

  3. 拙劣的战略

  4. 拙劣的商业模型与执行力

企业战略困厄的直接原因。

很多情况下,以下这些方面如果处置不当,不仅会造成一系列的问题,还极有可能引发企业危机:

  • 缺乏专业技能与经验,培训不足,管理无足

  • 市场困顿,经济低迷

  • 企业营收危机

  • 控股公司破产

  • 管理层的纷争

  • 财务控制不力,弄虚作假

  • 过于乐观的销售预测

  • 财务出现问题,发生清偿危机,债务负担过重,企业投资不足

  • 营运成本过高

  • 竞争对手过于强大

  • 投资过度

  • 资源缺乏,投资不足

这些导致企业困厄的因素往往盘根错节,交织出现。 阿德里安·斯莱沃茨基(Adrian J. Slywotzky)与约翰·德理(John Drzik)将上述触发因素归结为七类战略风险


重建管理的步骤。

重建管理首先对企业的管理层和领导团队进行调整,任命富有经验的重建管理领导者。 这一职位需要由强势的、命令型的或者魅力型的领导来担当。 典型的重建管理流程包括以下几个关键性步骤(近乎时间顺序):

  1. 评估企业现状与未来生存能力

  2. 采取紧急措施(“止血”)

  3. 制定企业战略生存计划

  4. 实施战略,重建企业, 度过危机

  5. 企业回归正常,实现收益与成长

  6. 结束重建管理
